DUNTON CINE DRIVING PLATES FOOTAGE LICENCE

 The following licence takes place between:

The Licensee (AS PER THE NAME GIVEN ABOVE)

And the Licensor (Dunton Cine Ltd, Unit 3, 184 St Albans Rd West, Hatfield, AL10 0TF)

For the purposes of the Production (AS PER THE NAME GIVEN ABOVE)

By continuing with the use of the licenced footage for the Production, Licensee and Licensor agree as follows:

1. Licensee shall have a non-exclusive license to use the Footage in the Production and to distribute and exploit the Production containing the Footage in any and all media, whether such media is now known or hereafter devised (including theatrical, non-theatrical, free TV, pay TV, pay per-view, VoD (e.g. SVOD, TVOD, EST, AVOD, FVOD, etc.), home video, online, internet download and streaming, interactive, video game, novelizations and publications of all kinds, packaging, merchandising, etc.), including, without limitation, in- context clips from the Production incorporating the Footage, for advertising and promotion use of the Production (e.g. trailer, teaser, etc.), throughout the universe, in perpetuity.

2. Licensee may assign its rights in the Production (incorporating the Footage), provided however, that the rights in the Footage, outside of the Production itself, may not be assigned.

3. In the event Licensee is in breach of any provision of this License Agreement, Licensor hereby (i) agrees that its rights and remedies shall be limited to its right to recover damages at law and (ii) waives its right to enjoin the production, distribution, exploitation or promotion of the Production.

4. If any provision of this Agreement is invalid, the validity of the remaining provisions shall remain unaffected. Any invalid provision shall be construed or amended so as to achieve the commercial intent and purpose of the original provision. The same shall apply if any provision has been inadvertently omitted from this Agreement. Any modification or amendment to this Agreement, including any waiver of this provision, shall be invalid unless executed in writing and duly signed by all parties.

5. The Licensor does not take any responsibility for how the Licensee deems fit to make use of the footage. By granting this license the Licensor does not give endorsement, nor provides oversight as to the use of the footage. The Licensor cannot supervise, nor be held liable for how the licensed footage is used.

6. The footage provided may feature imagery of person(s), private property, private vehicles, or private establishments that were filmed while on a public road. While reasonable steps have been taken to conceal the identity of any featured person(s), private property, private vehicles, or private establishments it is up to the Licensee to ensure that any identifiable markings, labels, or imagery is not broadcast in the final product.

6. This agreement shall be governed by English law. Exclusive place of jurisdiction is, as far as legally permissible, the registered office of Licensee.
